Intellectual Property
All designs, plans, and documentation produced by PavePro remain the intellectual property of PavePro unless otherwise agreed in writing.
Environmental Compliance
PavePro will undertake work in accordance with applicable environmental laws and regulations. The client agrees to provide any necessary environmental information relevant to the site.
Non-Waiver
No failure or delay by PavePro in exercising any right or remedy under this agreement shall constitute a waiver of such right or remedy, nor shall any single or partial exercise preclude any other or further exercise.
Force Majeure
PavePro shall not be held liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including but not limited to natural disasters, strikes, supply shortages, or acts of government.
Limitation of Liability
Except for death or personal injury caused by negligence, PavePro’s total liability under this agreement shall not exceed the total amount paid by the client for the relevant services.
Client Responsibilities
To ensure a smooth and timely completion of the project, the client agrees to: Provide full, unobstructed access to the work site for PavePro, Ensure availability of essential utilities, including water and electricity, as reasonably required for the work. Provide accurate and complete information regarding any underground services such as pipes, cables, or wiring prior to the commencement of work. Failure to disclose such information may affect liability as outlined elsewhere in this agreement. Make timely payments as invoiced or upon request, in accordance with the agreed payment schedule. Delays in payment may result in suspension of work and applicable surcharges. Maintain a safe and hazard-free environment on site, free from any conditions that could impede or endanger the work or workers. Cooperate reasonably with PavePro staff to facilitate efficient progress and completion of the project. Failure to meet these responsibilities may result in delays, additional costs, or suspension of work, for which PavePro shall not be held liable.
15-Year Workmanship Guarantee
At PavePro, we stand by the quality of our workmanship. All projects carried out by our team are covered by a 15-year workmanship guarantee, which covers structural faults or installation defects directly resulting from poor workmanship.
This guarantee does not cover: Damage caused by misuse, neglect, or lack of maintenance. Natural wear and tear or weathering. Cracking or movement caused by ground conditions beyond our control (e.g. subsidence or heave). Any faults arising from work not completed by PavePro or modified by third parties. Damage caused by extreme weather events, vehicles over recommended weight limits, or chemical spills
If an issue covered under this guarantee arises, we will repair or replace the affected area at no cost to the customer, provided we are notified in writing and given the opportunity to inspect the issue.
DIY alterations, misuse, neglect, heavy vehicles beyond rating also void this service.
Project Delay Compensation – 5% Discount Guarantee
PavePro commits to completing all agreed works within the timeframe stated in your project agreement. If we exceed the agreed deadline by more than 5 working days, and the delay was: Directly caused by PavePro, and Not the result of weather, delivery issues, client changes, or other circumstances beyond our control
Then you will be eligible for a 5% discount off your final invoice total.
To claim this discount: The delay must be documented in writing. The agreed timeframe must be clearly stated in the original written agreement or quote. Any timeline changes requested by the customer may void this guarantee
Photographic and Media Consent
The client consents to PavePro taking photographs or videos of the work for promotional purposes unless explicitly requested otherwise in writing.
Subcontracting
PavePro reserves the right to subcontract any part of the work to qualified third parties while retaining overall responsibility for quality and completion.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project and shall not disclose such information to any third party without prior written consent, except as required by law.
Severability
If any part of this agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full effect and enforceable to the maximum extent permitted by law.
Indemnity
The client agrees to indemnify and hold harmless PavePro against any claims, damages, losses, or expenses arising from the client’s breach of these terms or failure to disclose relevant information.
Liability & Limitations
PavePro shall not be liable for any indirect, incidental, or consequential loss or damage arising from the work carried out, including but not limited to loss of use, revenue, profit, or inconvenience.
Our liability is limited strictly to the value of the contracted work and only for issues that arise from demonstrable negligence or avoidable error by our team. We are not responsible for: Defects resulting from misuse, third-party interference, poor maintenance, or natural wear and tear. Subsidence, shifting, or ground movement after completion. Damage caused by pets, vehicles, heavy machinery, or external contractors
Damage to Services
PavePro does not accept responsibility for any damage to wires, pipes, cables, or other services if the client fails to inform us beforehand of their existence and location.
If the client does inform PavePro in advance and damage occurs, we accept responsibility and will address it through our insurance.
All claims must be submitted in writing within 30 days of the issue arising. No liability will be accepted outside this window.
Changes, Extras & Customer Responsibilities
Any changes to the agreed scope of work must be requested in writing and may result in additional charges and extended timeframes. PavePro reserves the right to refuse changes that significantly disrupt scheduling or project flow.
Additional work or materials not included in the original quote will be invoiced separately at a rate agreed at the time of request.
Clients are responsible for: Ensuring access to the site during agreed hours. Securing any necessary permissions (e.g. planning or council approval). Informing us of any underground services, hidden structures, or access restrictions
Failure to meet these responsibilities may result in delays, additional charges, or cancellation of works. We are not liable for issues arising from incorrect or incomplete information provided by the client.
Materials Disclaimer
PavePro makes no guarantee that the materials used in any installation will be identical in appearance throughout. Variations in colour, texture, finish, or pattern may occur and are not considered faults or defects.
We do not accept responsibility for: Fading, staining, or weathering over time. Differences in tone or texture between individual units or batches. Minor imperfections, chips, or marks present upon delivery or after installation. It is the customer’s responsibility to inspect and approve materials prior to installation where possible. Once materials have been ordered or delivered, they are considered accepted and cannot be exchanged or refunded
Termination
Either party may terminate this agreement by providing written notice. Upon termination, the client shall pay for all work completed and materials ordered up to the termination date.
Material Availability
PavePro shall not be held liable for delays or changes due to unavailability of materials or products. Substitutions may be made at PavePro’s discretion without prior client approval, provided the substitute is of comparable quality.
Health and Safety Compliance
The client agrees to comply with all applicable health and safety regulations and to ensure that the work site is safe for PavePro personnel. PavePro reserves the right to suspend work if unsafe conditions are encountered.
Governing Law and Jurisdiction
This agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Variation
No variation or amendment to this agreement shall be effective unless made in writing and signed by both parties.
Delays and Timelines
While PavePro aims to complete all work within the agreed timeframe, all timeframes provided are estimates only and subject to change. Delays may occur due to weather conditions, material availability, changes in client specifications, or other unforeseen circumstances outside of our control.
PavePro will not be held liable for any inconvenience, cost, or loss resulting from delays, provided reasonable efforts are made to complete the work within a practical period.
Where a completion date is formally agreed in writing, and delays are caused solely by PavePro, a 5% discount may be applied at our discretion if the delay is substantial and avoidable.
Payment Terms
Payment is due in full immediately upon completion of the agreed works, unless otherwise specified in writing. PavePro also operates a stage-based payment structure, meaning payment is required after each phase of work is completed, as outlined in the invoice (e.g. excavation, sub-base, surface laying).
Where payment is delayed beyond the agreed due date, a late payment surcharge of 7% per week will be applied to the outstanding balance. This surcharge reflects the administrative burden, scheduling disruption, and financial impact caused by delayed settlement.
If full payment is not received within 14 days of the final invoice, we reserve the right to: Withhold all warranties and guarantees. Suspend or cancel future works. Refer the matter to external debt recovery services
It is the client’s responsibility to ensure payment is made promptly. We do not accept liability for any delays or penalties arising from late or incomplete payments.
Definitions
PavePro - this refers to the sole trader Patrick O'loughlin as his trading name along with any subcontractors he choses to bring in for the project at hand.
Client - this means the person or entity commissioning PavePro to carry out the work and agrees to these terms.
Work/Project - means the services, material, labour provided by pavepro.
agreement - means this legal notice in full including all terms and conditions and schedules along with any written amendments agreed with between PavePro and the client.
Site - physical location where any work is carried out by pavepro relevant to the project.
completion - means the point in time that pavepro has finished the agreed scope of work to reasonable professional standards.
underground services - means any pipes, cables, wiring, ducts, or other installations located below ground at the site.
Written/In writing - this includes electronic communication, such as email, whatsapp messages, text messages etc.
Force Majeure - means any event beyond the reasonable control of pavepro, including but not limited to natural disaster, strikes, goverment restrictions.
